Job Description – Legal Counsel
Due to ongoing growth, Bulk Barn seeks a Legal Counsel to join its high performing team. Working closely with the Director, Legal and Secretary, the Legal Counsel will provide strategic legal advice and solutions to management in a range of areas impacting the business including but not limited to, corporate commercial law, marketing and advertising law, intellectual property law, privacy law, employment law, leasing, and other regulatory compliance matters.
Key Accountabilities and Responsibilities
- Must communicate effectively on a daily basis in writing to various internal and external parties ensuring confidentiality and accurate transfer of pertinent information.
- Helps to oversee law clerk(s) in various tasks including, without limitation, review and preparation of contracts, closing documents, corporate searches, research projects, filing of annual returns and other corporate fillings as necessary.
- Drafts, reviews and negotiates various commercial contracts and service agreements to assist the organization by managing the allocation of risk.
- Assists with research and preparation of documents to comply with various regulatory requirements.
- Assists with Corporate Privacy compliance.
- Assists with deals involving the reacquisition of assets from franchisees; documenting and closing of such transactions.
- Assists with providing guidance to Customer Service in (managing/mitigating) potential liability in respect to incidents involving customers at store level.
- Works with Director, Legal and Executive Vice President, Administration on a variety of special projects including acquisition of assets, corporate reorganizations, expansion to new jurisdictions, new ventures and compliance with new legislation.
- Provides input with respect to annual departmental budget.
- Works with Director, Legal and Department Leaders to resolve issues proactively and/or as they arise.
- Works towards long term solutions to problems when feasible.
- Provides advice to various departments concerning negotiation of service contracts and other agreements. Provides advice to IT Department on various contracts and on issues related to privacy and CASL.
- Provides advice to Marketing Department on areas including, without limitation, promotional contests, misleading advertising, trade-mark and social media issues.
- Provides advice to Merchandising Department on regulatory issues, including Safe Food for Canadians Act, Product Labelling, Extended Producer Responsibility, Import Compliance, Supply Chain Transparency Reporting, etc.
- Provides advice to Human Resources Department concerning employment related issues including, without limitation, issues concerning employment, human rights, occupational health and safety, performance management issues and terminations.
- Provides advice to Real Estate Department concerning leasing related issues.
- Accountable for documents and reports forwarded by the legal team internally and/or to third parties on behalf of the Company.
- Analyzes information and makes recommendations to leadership team with a view to identifying and mitigating potential legal risks.
- Makes recommendations with the Company’s best interests in mind.
- Negotiates/drafts/reviews agreements to protect the Company’s legal interests.
- Ensures all documents, reports and communications are of a high standard and are reviewed in advance of submission to third parties on behalf of the Company.
- Ensures all documents, reports and communications meet Company standards in advance of implementation.
- Advises on compliance with various legislation including, without limitation, commercial legislation, privacy, employment related legislation, leasing and other regulatory compliance etc.
- Participates in negotiations as required with the intent to attain the best possible outcome for the Company.
- Ensures accuracy of all reports, documents and contracts.
- Ensures all reports, documents and contracts are audited and error free.
- Applies their technical knowledge when reviewing, creating and preparing documentations on behalf of the Company.
- Notifies executives of potential risks and works to mitigate risks while achieving the Company’s business objectives.
- Liaises with colleagues and other departments as necessary to attain pertinent information and ensure deadlines are met.
- Assists Executive Vice President Administration and Director, Legal with insurance renewal and insurance related matters.
- Helps to lead the team in the development and execution of departmental goals and action plans that are directly tied into measurable results and timely and consistent execution.
- Works with team to troubleshoot problems and create efficient processing of quality documentation.
- Ensures all processes and procedures are value added and efficient.
- Stays current on important legislative changes and trends in the case law that impact the Company’s business and communicates to management accordingly.
- Promotes and works to maintain workplace wellness, health and safety, through active compliance with all workplace health and safety policies and procedures.
- Any other duties as required.
Education and Professional Skills/Knowledge
- LL.B. or J.D. degree (or equivalent).
- Good standing with a Canadian Law Society.
- 4+ years of broad corporate commercial law experience.
- Excellent communication and interpersonal skills with “team player” attitude.
- Self-starter willing to take initiative and roll-up their sleeves to get tasks done.
- High level of attention to detail and accuracy, as well as the ability to balance multiple priorities within deadlines.
- Excellent negotiation skills.
